Effective Date: September 2, 2026
These Terms and Conditions of Sale (“Terms”) apply to quotations, sales, manufacturing services and products provided by Goat Metal Manufacturing Inc., including Gall Machine Company (“Seller”) unless otherwise agreed to in writing by an authorized representative of Seller.
Submission of a purchase order or acceptance of products or services from Seller constitutes acceptance of these Terms. Any additional or conflicting terms contained in a customer's purchase order or other document are rejected unless specifically accepted by Seller in writing.
Unless otherwise stated in writing, quotations are valid for 30 days from the quotation date.
Pricing is based upon the quantities, materials, specifications, manufacturing requirements, packaging requirements and other information available when the quotation is prepared.
Changes to quantities, materials, drawings, specifications, tolerances, packaging, delivery requirements or other requirements may result in revised pricing.
Prices do not include applicable taxes, freight, expedited shipping, special packaging, outside processing or other charges unless specifically stated in the quotation.
Customer purchase orders are subject to Seller's acceptance.
Seller may request clarification of drawings, specifications, quantities, delivery requirements or other information before accepting or beginning an order.
Any changes requested after acceptance may result in additional charges and changes to delivery dates.
Products manufactured to customer drawings, samples, specifications or instructions will be manufactured according to the information supplied by the customer and accepted by Seller.
The customer is responsible for ensuring that drawings, revisions, specifications, dimensions, tolerances, material requirements and other information supplied to Seller are complete, accurate and current.
Seller is not responsible for errors resulting from inaccurate, incomplete, obsolete or conflicting customer-supplied information.
Unless otherwise agreed in writing, the latest drawing or specification revision actually provided to and acknowledged by Seller will control.
Material grades, finishes, coatings and other material requirements must be specified by the customer when required.
Normal commercial variations in material chemistry, mechanical properties, diameter, straightness, surface condition, coating appearance and other characteristics may occur within applicable specifications and industry standards.
Mill certifications, material certifications, certificates of conformance or other documentation must be requested when required and may be subject to additional charges.
Products will be manufactured to the dimensions and tolerances specified on the accepted customer drawing, specification or Seller quotation.
Where a dimension or tolerance is not specified, Seller's normal manufacturing practices and commercially reasonable tolerances may apply.
Special tolerances, straightness requirements, surface-finish requirements, end-condition requirements or inspection requirements must be identified before quotation and order acceptance.
When requested or considered necessary, Seller may provide samples or first-article parts for customer evaluation and approval.
Customer approval of samples or first articles authorizes Seller to proceed with production based upon the approved configuration unless otherwise agreed in writing.
Changes requested after approval may result in additional charges and revised delivery schedules.
Unless exact quantities are expressly required and accepted in writing, manufacturing quantities may be subject to reasonable commercial overrun or underrun resulting from production processes, raw-material quantities or manufacturing yield.
Where exact quantities are required, the requirement must be communicated before quotation and order acceptance.
Quoted delivery dates are estimates unless Seller expressly agrees in writing to a guaranteed delivery date.
Seller will make commercially reasonable efforts to meet requested delivery schedules but is not responsible for delays caused by circumstances beyond its reasonable control, including material shortages, supplier delays, transportation interruptions, equipment failures, labor disruptions, utility interruptions, severe weather, governmental actions or other force-majeure events.
Shipping method, freight responsibility and delivery terms will be as stated on the applicable quotation, purchase order acknowledgment or invoice.
Unless otherwise agreed in writing, shipping and freight charges may be billed to the customer.
Seller will use its standard commercial packaging unless special packaging, labeling, palletization, container, weight or customer-specific requirements are agreed upon before production.
Special packaging requirements may result in additional charges.
Customers should inspect products promptly after receipt.
Claims regarding quantity shortages, visible damage or alleged nonconforming product should be reported to Seller promptly and should include sufficient information to identify the order, affected parts and alleged condition.
Customer should provide Seller a reasonable opportunity to inspect or evaluate allegedly nonconforming products before parts are sorted, reworked, scrapped or returned.
Products may not be returned without Seller's authorization.
If Seller determines that products supplied by Seller fail to conform to agreed specifications due to Seller's manufacturing responsibility, Seller may, at its option, repair the affected products, replace them, rework them, issue an appropriate credit or refund the purchase price attributable to the affected products.
These remedies are subject to applicable law and any separately agreed written warranty or quality requirements.
Seller is not responsible for defects or failures resulting from customer design, improper storage or handling, misuse, subsequent processing, modification, assembly, installation or use outside the specifications communicated to Seller.
Certain processes, including plating, galvanizing, heat treatment, coating or other specialized operations, may be performed by qualified outside suppliers when appropriate.
Seller is not responsible for purely cosmetic variations inherent in commercially acceptable outside processes unless specific appearance requirements have been agreed upon in writing.
Any tooling, fixtures, gauges or special equipment required for an order may be separately quoted.
Payment of a tooling or setup charge does not transfer ownership of Seller's proprietary manufacturing methods, processes, fixtures or equipment unless expressly agreed in writing.
Customer-owned tooling held by Seller remains subject to any separate written agreement regarding ownership, maintenance, storage and disposition.
Orders may not be changed or cancelled without Seller's consent after materials have been ordered or production has begun.
Customer may be responsible for costs incurred before cancellation, including raw materials, outside processing, tooling, setup, work in process, completed products and other reasonable commitments associated with the order.
Payment terms are those stated on Seller's quotation, order acknowledgment or invoice.
Invoices not disputed in good faith are payable according to the stated terms.
Seller may modify credit terms, require deposits, require payment before shipment or suspend further production or shipments when accounts become delinquent or when Seller reasonably determines that credit risk has materially changed.
Seller will use customer drawings, specifications and other proprietary manufacturing information for legitimate quotation, engineering, manufacturing, quality and business purposes associated with the customer's requirements.
Where Seller and customer have entered into a separate Non-Disclosure Agreement or confidentiality agreement, that agreement will govern information covered by it.
Unless Seller has expressly accepted design responsibility in writing, Seller manufactures components according to customer-provided drawings, specifications or instructions and does not assume responsibility for the suitability of the customer's design or the fitness of the finished component for the customer's intended application.
The customer remains responsible for final design validation, testing, regulatory compliance and determining whether the component is suitable for its intended use.
Customer represents that it has the right to provide drawings, specifications, designs and other information submitted to Seller for quotation or manufacturing.
Seller's manufacturing knowledge, methods, processes, tooling concepts, techniques and proprietary information remain Seller's property unless otherwise agreed in writing.
To the extent permitted by applicable law, Seller will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, loss of production, loss of use or business interruption arising from the sale or use of Seller's products.
To the extent permitted by applicable law, Seller's aggregate liability relating to a particular order will not exceed the amount paid to Seller for the products giving rise to the claim, except where a different limitation is required by law or expressly agreed in writing.
Seller will not be liable for failure or delay in performance caused by events beyond Seller's reasonable control, including natural disasters, fire, flood, severe weather, war, terrorism, civil disturbance, governmental actions, transportation disruptions, labor disputes, epidemics, utility failures, equipment failures, supplier interruptions or shortages of materials.
These Terms and transactions with Seller will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, unless otherwise agreed in writing or required by applicable law.
Any separately executed written agreement between Seller and customer will control to the extent it expressly conflicts with these Terms.
Seller's quotation, accepted purchase order, order acknowledgment, applicable drawings and specifications, and these Terms collectively establish the applicable requirements for an order, subject to any separately executed agreement between the parties.
